It’s not a secret that developing business comes into the view of a great number of different groups, organizations and business corporations. And not always this “interest” is positive.
Conflicts with lessor, contractor, partner, personnel and many state agencies mostly are due to defects allowed in the course of drafting company’s documents.
Looking into problems of our clients we came to the conclusion that long before deep problems arose it was possible to foresee and escape them. Moreover, frequently company’s chief executives were cognizance of existence of most violations in their business, but for a variety of reasons they didn’t hurry to eliminate their violations. Frequently it happened because of arrogance of chief executives, but sometimes it happens over misestimate of legality of the specific case. In other words the chief executive hopes that it’s possible to eliminate any problem at any time, including post factum. Also managements are sure that if it would be impossible to eliminate the problem, trials would be on their side because it seems to them to be justly. It’s self-deception.
There is one more aspect which is important to note. Not always the lawyers of one or another business have necessary qualification to define consequence of some defects. But the consequence of such incapacity can be irreparable.
Everybody hears about hostile takeover of business. But a lack of businessmen knows that most often such hostile takeovers are due to careless made constitutive and financial documents.
It’s also necessary to pay attention on such phenomenon as cooperation with “technical” firm, or as they are else called – “firms-scrap yards”. It’s hard to do business without such “firms-scrap yards” in so far as there is no precise definition of “Unfairness” in the legislation, and a usual commercial organization can’t define an unfair tax payer in its own partner. Nevertheless there are special methods to minimization risks during cooperation with “firms-scrap yards”.
